Loyalup provides a digital loyalty platform that enables merchants to create and manage loyalty programs, including but not limited to:

• Digital loyalty cards
• Membership cards
• Points programs
• Stamp programs
• Discount programs
• Cashback programs
• Gift cards
• Customer engagement tools
• Apple Wallet and Google Wallet integrations

The Services may be updated, modified, expanded, or discontinued at any time.

You must be at least 18 years old or have legal authority to enter into binding agreements in your jurisdiction to use the Services.

Merchants are responsible for:

• Maintaining accurate account information
• Protecting account credentials
• Managing staff access and permissions
• Ensuring compliance with applicable laws
• Managing loyalty programs offered to customers

Merchants are solely responsible for rewards, discounts, offers, and benefits made available through their loyalty programs.

Customers may participate in loyalty programs offered by merchants through the Loyalup platform.

Customers are responsible for:

• Providing accurate information
• Maintaining access to their registered phone number
• Protecting their wallet passes and account credentials

Each loyalty program is created and operated by an individual merchant.

Loyalup provides the technology infrastructure but is not responsible for:

• Reward availability
• Offer fulfillment
• Merchant promises
• Reward redemption decisions
• Changes to loyalty program rules

Questions regarding specific rewards or loyalty programs should be directed to the merchant operating the program.

Loyalup supports integration with Apple Wallet and Google Wallet.

Wallet passes may contain:

• Loyalty information
• Membership information
• Points balances
• Rewards
• QR codes
• Merchant branding

Functionality of wallet passes may be affected by Apple, Google, device manufacturers, operating systems, or third-party services beyond Loyalup's control.

Users may not:

• Violate applicable laws
• Attempt unauthorized access to systems
• Interfere with platform operation
• Engage in fraud or abuse
• Duplicate, manipulate, or misuse loyalty accounts
• Distribute malware or harmful code

Loyalup reserves the right to suspend or terminate accounts involved in prohibited activities.

All platform software, trademarks, branding, designs, content, and technology are owned by Loyalup LLC or its licensors.

No ownership rights are transferred through use of the Services.

Subscription fees, service fees, and other charges are communicated separately to merchants.

Unless otherwise stated:

• Fees are non-refundable
• Payments are due according to the selected plan
• Failure to pay may result in service suspension

We strive to maintain reliable service but do not guarantee uninterrupted availability.

Services may be temporarily unavailable due to:

• Maintenance
• Technical issues
• Security incidents
• Third-party outages
• Force majeure events

To the maximum extent permitted by law, Loyalup shall not be liable for:

• Lost profits
• Lost revenue
• Lost business opportunities
• Indirect damages
• Consequential damages
• Merchant reward disputes
• Customer reward disputes

Users may stop using the Services at any time.

Loyalup may suspend or terminate access if:

• These Terms are violated
• Fraudulent activity is detected
• Legal obligations require suspension
• Service fees remain unpaid

Use of the Services is also governed by our Privacy Policy.

By using the Services, you acknowledge that personal information may be processed in accordance with the Privacy Policy.

We may update these Terms from time to time.

Updated versions become effective upon publication.

Continued use of the Services constitutes acceptance of the revised Terms.

These Terms shall be governed by and interpreted under the laws of Georgia, without regard to conflict of law principles.
